Nutzungsbedingungen

I. Geltungsbereich

1. 1. Diese Nutzungsbedingungen gelten für die Nutzung der webbasierten Anwendungssoftware Xvalve (im Folgenden: Xvalve), die von der Holter Regelarmaturen GmbH & Co. KG (im Folgenden:HORA) betrieben und dem Nutzer zur Nutzung überlassen wird.
2. 2. Allgemeine Geschäftsbedingungen des Nutzers finden keine Anwendung, selbst, wenn HORA deren Geltung nicht widerspricht oder vorbehaltlos Leistungen erbringt.
3. 3. Diese Nutzungsbedingungen gelten nicht, wenn der Nutzer Verbraucher gem. § 13 BGB ist.
4. 4. Diese Nutzungsbedingungen gelten nur für die Nutzung von Xvalve. Für alle entgeltlichen Geschäfte, insbesondere Kauf- und Wartungsverträge gelten die über die Internetseite hora.de abrufbaren Allgemeinen Geschäftsbedingungen von HORA.

II. Vertragsgegenstand

1. 1. Xvalve ist eine webbasierte Anwendungssoftware zur Berechnung der technischen Auslegung von Ventilsystemen anhand von Daten, die der Nutzer eingibt. HORA räumt dem Nutzer ein Recht zur unentgeltlichen Nutzung von Xvalve nach Maßgabe der nachfolgenden Bestimmungen ein. Das Recht zur Nutzung von Xvalve bezieht sich auf die jeweils im Zeitpunkt der konkreten Nutzung aktuelle und verfügbare Version. Xvalve ist über die Domain xvalve.hora.de abrufbar.
2. 2. Bestellungen und Vertragsschlüsse sind über Xvalve und die Internetseite xvalve.hora.de nicht möglich. Die Webanwendung dient ausschließlich der ersten Information des Nutzers und ersetzt keine weitergehende Beratung zur technischen Ausgestaltung von Ventilsystemen. Für Bestellungen wenden Sie sich bitte an den Vertrieb von HORA.

III. Umfang der Nutzungsrechte und Nutzungsbeschränkungen

1. 1. Xvalve ist urheberrechtlich geschützt. Alle Rechte an Xvalve stehen im Verhältnis zwischen HORA und dem Nutzer untereinander ausschließlich HORA zu.
2. 2. HORA räumt dem Nutzer mit erfolgreicher Registrierung und Akzeptierung dieser Nutzungsbedingungen das einfache, nicht-ausschließliche, nicht-übertragbare, auf die Dauer der Registrierung beschränkte und jederzeit widerrufliche Recht ein, Xvalve zur Errechnung der technischen Auslegung von Ventilsystemen zu nutzen.
3. 3. Die von Xvalve übermittelten Informationen können jeweils vom Nutzer im üblichen Rahmen für eigene Geschäftszwecke gespeichert und ausgedruckt werden. Das Kopieren, Reproduzieren oder Speichern von Xvalve selbst auf Datenträgern sowie die Nutzung von Xvalve in anderen Systemen ist untersagt.
4. 4. Das Nutzungsrecht ist ausdrücklich inhaltlich beschränkt auf die Nutzung für eigene Zwecke des Nutzers. In keinem Fall ist der Nutzer berechtigt, ohne schriftliche Zustimmung von HORA Xvalve zu vermieten oder in sonstiger Weise unterzulizenzieren, öffentlich wiederzugeben oder zugänglich zu machen oder Dritten entgeltlich oder unentgeltlich zur Verfügung zu stellen, beispielsweise im Wege des Application Service Providing (ASP) oder als Software as a Service (SaaS).

IV. Zugriff auf Xvalve und technische Voraussetzungen

1. 1. Der Zugriff auf Xvalve erfolgt onlinebasiert über eine Internetseite, die derzeit über die Domain xvalve.hora.de erreichbar ist. Für den Zugriff auf Xvalve benötigt der Nutzer einen Benutzername und ein Passwort, gemeinsam auch als Zugangsdaten bezeichnet. Die Zugangsdaten werden dem Nutzer durch HORA auf Anfrage mitgeteilt.
2. 2. Das Passwort kann nach dem ersten Log-In durch den Nutzer nicht geändert werden.
3. 3. Um ohne technische Komplikationen auf die Plattform zugreifen zu können, ist ein Internet-zugang mit ausreichender Bandbreite und die Nutzung einer aktuellen Version eines gängigen Internet-Browsers, zum Beispiel Firefox oder Internet-Explorer notwendig.
4. 4. HORA kann die Systemanforderungen für den Zugriff auf Xvalve jederzeit dem jeweils aktuellen Stand der Technik entsprechend anpassen. Der Nutzer kann sich jederzeit über die aktuellen Systemanforderungen bei HORA informieren.

V. Verfügbarkeit von Xvalve

1. 1. HORA bemüht sich, die Möglichkeit zur Nutzung von Xvalve möglichst unterbrechungsfrei sicher-zustellen. HORA strebt dabei eine ganztägige Verfügbarkeit auch an Feiertagen von 95 % durchgehend 24 Stunden an 7 Tagen in der Woche pro Jahr an. Eine Gewährleistung für die störungsfreie Nutzungsmöglichkeit von Xvalve übernimmt HORA nicht.
2. 2. Um die Nutzung von Xvalve aufrechtzuerhalten, Fehler zu beseitigen und zur Aktualisierung der hinterlegten Informationen ist es erforderlich, dass Xvalve von Zeit zu Zeit gewartet wird. HORA ist daher berechtigt, regelmäßige Wartungen vorzunehmen. In den Wartungszeiten steht Xvalve nicht oder nur eingeschränkt zur Verfügung.
3. 3. HORA wird sich bemühen, die Wartungszeiten möglichst kurz zu halten und alle Wartungs-arbeiten möglichst zu nutzungsarmen Zeiten durchzuführen, möglichst außerhalb der üblichen Geschäftszeiten.

VI. Pflichten des Nutzers

1. 1. Der Nutzer ist verpflichtet, die Daten vor Eingabe in Xvalve genau auszuwählen und auf Plausibilität, Richtigkeit und Vollständigkeit zu prüfen. Ebenso hat der Nutzer das Ergebnis der Datenverarbeitung durch Xvalve auf Plausibilität, Richtigkeit und Vollständigkeit zu prüfen. Keinesfalls ersetzt Xvalve eine umfangreiche Planung und Beratung zur technischen Gestaltung und Umsetzung von Ventilsystemen.
2. 2. Der Nutzer ist verpflichtet, ausreichende technische und organisatorische Sicherungs-vorkehrungen zu treffen, die es verhindern, dass Dritte unter Nutzung seiner Zugangsdaten oder auf andere Weise auf Xvalve zugreifen können. Insbesondere hat er seine Zugangsdaten sicher zu verwahren.
3. 3. Fehler der Ergebnisse von Xvalve hat der Nutzer unverzüglich in Textform an HORA zu melden. Er wird weiter alle ihm vorliegenden Informationen über den Fehler an HORA weiterleiten.

VII. Gewährleistung

1. 1. HORA übernimmt keine Gewähr dafür, dass Xvalve den Bedürfnissen des Nutzers entspricht, wovon sich dieser selbst vorab zu vergewissern hat. Dem Nutzer ist bekannt, dass die Überlassung einer völlig fehlerfreien Software wegen der Komplexität derartiger Systeme nicht möglich ist und keine unterbrechungsfreie Bereitstellung von Xvalve gewährleistet werden kann. Beides ist entsprechend auch vertraglich nicht geschuldet.
2. 2. HORA bestätigt nach bestem Wissen und Gewissen, dass ihr derzeit weder Fehler von Xvalve noch der Nutzung entgegenstehende Rechte Dritter bekannt sind. Sollte der Nutzer von Fehlern oder Rechten Dritter an Xvalve erfahren, wird er HORA unverzüglich informieren.

VIII. Haftung

1. 1. HORA haftet außerdem nur im Falle von übernommenen Garantien, bei Vorsatz und grober Fahrlässigkeit, bei der Verletzung von Leben, Körper oder Gesundheit und bei arglistig verschwiegenen Mängeln. Im Übrigen ist die Haftung ausgeschlossen.
2. 2. Die Haftung nach dem Produkthaftungsgesetz bleibt unberührt.
3. 3. Eine verschuldensunabhängige Haftung für anfängliche Mängel von Xvalve ist ausgeschlossen.

IX. Laufzeit und Kündigung

1. 1. Der Nutzungsvertrag für XValve wird auf die Dauer der Registrierung geschlossen. Beide Parteien sind jederzeit berechtigt, den Nutzungsvertrag mit einer Frist von zwei Wochen zum Monatsende zu kündigen.
2. 2. Die im kann dieser Nutzungsvertrag außerordentlich fristlos bei Vorliegen eines wichtigen Grundes gekündigt werden. Ein wichtiger Grund liegt vor, wenn dem kündigenden Teil unter Berücksichtigung aller Umstände des Einzelfalls und unter Abwägung der beiderseitigen Interessen die Fortsetzung des Vertragsverhältnisses bis zum Ablauf der Kündigungsfrist nicht zugemutet werden kann.
3. 3. HORA ist insbesondere zur außerordentlichen Kündigung berechtigt, wenn der Nutzer die Nutzung von Xvalve einem Dritten überlässt oder der Service für Xvalve durch HORA nicht aufrechterhalten wird.

X. Sperrung des Zugangs

1. 1. HORA ist auch berechtigt, den Zugang zu Xvalve zu sperren, wenn der Nutzer gegen Pflichten aus diesem Nutzungsvertrag verstößt.

XI. Sperrung des Zugangs

1. 1. Sollte eine Bestimmung dieses Nutzungsvertrages unwirksam sein oder werden, so wird die Wirksamkeit der übrigen Bestimmungen hiervon nicht berührt.
2. 2. Es gilt deutsches Recht unter Ausschluss des UN-Kaufrechts.
3. 3. Ausschließlicher Gerichtsstand für alle Streitigkeiten zwischen den Parteien ist der Sitz von HORA.

Terms of use

I. Scope

1. 1. These Terms of Use apply to the use of the web-based application software Xvalve (hereinafter: Xvalve), which is operated by Holter Regelarmaturen GmbH & Co. KG (hereinafter: HORA) and use of which is provided to the users.
2. 2. General Terms and Conditions of the user do not apply, even if HORA does not specifically object to their application or renders services without reservation.
3. 3. These Terms of Use do not apply if the user is a consumer according to sec. 13 of the German Civil Code (Bürgerliches Gesetzbuch – BGB).
4. 4. These Terms of Use only apply to the use of Xvalve. All commercial transactions, especially purchase contracts or maintenance contracts, are subject to the General Terms and Conditions which can be downloaded from the website hora.de.

II. Subject Matter of the Contract

1. 1. Xvalve is a web-based application software for calculating technical configurations of valve systems on the basis of data the user enters into the system. HORA grants to the user a right to use Xvalve free-of-charge in accordance with the following provisions. This right of use for Xvalve applies to the most current version of Xvalve available at the time of use. Xvalve is available on the domain xvalve.hora.de.
2. 2. Orders and conclusion of contracts under use of Xvalve or the website xvalve.hora.de are not possible. The web application provides only initial information and does not substitute for further consultation about the technical configuration of valve systems. To order, please contact the sales department at HORA.

III. Scope of Rights of Use and Restrictions of Use

1. 1. Xvalve is protected by copyright. All rights to Xvalve in the relationship between HORA and the user belong exclusively to HORA.
2. 2. HORA grants to the user, after successful registration and acceptance of these Terms of Use, a simple, non-exclusive, non-transferable right to use Xvalve for calculating the technical confi-guration of valve systems, limited to the period of the registration and revocable at any time.
3. 3. The information provided by Xvalve can be saved and printed by the user within the normal range for his own commercial purpose. Copying, reproducing or saving of Xvalve itself on data carriers as well as the use of Xvalve on other systems is prohibited.
4. 4. The Right of Use is explicitly restricted to the use of Xvalve for the user‘s own purposes. In no way is the user, without prior written consent from HORA, authorized to rent out or in any way sub-license, to publicly display, make available or provide a third party with access to Xvalve, with or without payment, for example by using Application Service Providing (ASP) or as Software as a Service (SaaS).

IV. Access to Xvalve and Technical Requirements

1. 1. Xvalve is accessed online-based on a website currently accessible on the domain xvalve.hora.de. For access to Xvalve the user needs a user name and a password, altogether declared as the access data. The access data will be communicated to the user by HORA upon request.
2. 2. To avoid technical complications in accessing the platform, an internet connection with sufficient bandwidth and the use of an up-to-date version of a common internet browser (e.g. Firefox or Internet Explorer) is required.
3. 3. HORA can choose to upgrade the system requirements for access to Xvalve at any time. The user can at any time inform himself of the current minimum system requirements by contacting HORA.

V. Availability of Xvalve

1. 1. HORA strives to secure the highest possible uninterrupted use of Xvalve. HORA strives for an all-day availability, even on public holidays, and continuous 24/7 service 95% of the year. HORA does not guarantee the uninterrupted possibility of using Xvalve.
2. 2. To sustain the performance of Xvalve, to fix errors and to update the deposited data, it is necessary that Xvalve be maintained from time to time. HORA is authorized to carry out regularly scheduled maintenance work. During maintenance periods Xvalve can either not be used or only be used with limitations.
3. 3. HORA strives to keep maintenance periods as short as possible and, where manageable, to carry out maintenance work during periods of little use, ideally outside normal business hours.

VI. Obligations of Users

1. 1. The user is obliged to precisely choose the data before entering it into Xvalve and to check it for plausibility, accuracy and completeness. Similarly, the user has to check the data processing result for plausibility, accuracy and completeness. In no way does Xvalve substitute for the extensive planning and consultation in the technical configuration and implementation of valve systems.
2. 2. The user is obliged to take sufficient technical and organizational security precautions which prevent third parties from gaining access to Xvalve by using the access data of the user or in any other way. In particular, he has to keep his access data secure and confidential.
3. 3. The user has to report errors in the results of Xvalve to HORA immediately in text form. The user will furthermore forward all information concerning the error to HORA.

VII. Warranty

1. 1. HORA does not guarantee that Xvalve meets the requirements of the user; the user has to ensure himself of this in advance. The user knows that providing error-free software is not possible because of the complexity of such systems and that uninterrupted provision of Xvalve cannot be guaranteed. Therefore, neither of these is contractually obligated.
2. 2. HORA confirms to the best of its knowledge that it knows of neither errors of Xvalve nor conflicting rights of third parties which prevent the use of Xvalve. Should users become aware of errors in or rights of third parties to Xvalve, he will immediately inform HORA.

VIII. Liability

1. 1. HORA is liable only in case of guarantees provided, willful intent and gross negligence, injury to life, limb or the impairing of the health, and maliciously concealed defects. In all other cases, liability is excluded.
2. 2. The liability under the German Product Liability Act remains unaffected.
3. 3. Strict liability for initial defects of Xvalve is excluded.

IX. Duration and Termination

1. 1. The user contract is concluded for the period of the registration. Both parties are entitled to terminate the user contract subject to a notice period of two weeks to month's end.
2. 2. Furthermore, this user contract can be subject to extraordinary termination for good cause. Good cause shall be deemed to exist if, taking into consideration all circumstances of the particular event and balancing the opposing interests, the party giving notice of termination cannot reasonably be requested to continue the contractual relationship until expiry of the notice period for termination.
3. 3. HORA is in particular entitled to terminate the contract for good cause if the user provides use of Xvalve to a third party or if the Xvalve service is not upheld by HORA.

X. Blocking of Access

1. 1. HORA is authorized to block access to Xvalve if the user breaches his obligations under this user contract.

XI. Miscellaneous

1. 1. Should any of the provisions of this user contract be or become invalid, this shall not affect the validity of the remaining provisions.
2. 2. This contract is governed by German law with the exception of UN sales law.
3. 3. Exclusive place of jurisdiction for all disputes between the parties is the company seat of HORA.
4. 4. In case of any inconsistencies between the German and the English version of this user contract, the German version shall prevail.
